Terms of Service
These terms govern use of Protostar ERP (the "Service"), provided by Protostar AI, LLC ("Protostar", "we"). The Service is sold to organisations ("Customer"); the people a Customer invites to use it are "Users". By signing in you agree to these terms on your own behalf and, if you are accepting for an organisation, you confirm you are authorised to do so. Where a signed agreement between Protostar and a Customer says something different, the signed agreement wins for that Customer.
1. The Service
Protostar ERP is hosted enterprise-resource-planning software: bills of materials, orders, inventory, purchasing, manufacturing and related records, with optional integrations and an optional AI assistant. Each Customer's data is held in its own isolated workspace. We may improve the Service over time; we will not remove a core capability a Customer relies on without reasonable notice.
2. Accounts
A Customer's administrator creates and manages User accounts. Users must keep their credentials private and tell their administrator at once if an account may have been compromised. Sessions end automatically after a period of inactivity. Users must not share accounts, because the Service attributes every action to the signed-in person and that attribution is relied on for audit and, where a Customer uses it, electronic signatures.
3. Customer data
Customer data belongs to the Customer. We process it only to provide, secure and support the Service, as described in our Privacy Policy. We do not sell it and we do not use it to train AI models. A Customer can export its data at any time using the Service's export tools, and can ask us for a full copy when the Service ends.
4. Acceptable use
Users must not: attempt to access another Customer's workspace or data; probe, scan or test the Service for vulnerabilities without our written permission; upload malware; use the Service to break the law or infringe anyone's rights; or resell access. We may suspend an account that is being used in a way that threatens the Service or other Customers, and will tell the Customer's administrator when we do.
5. AI features
The AI assistant and the agent interface are optional and are enabled by the Customer's administrator. AI output can be inaccurate. It is provided to help people find and understand data, not to make decisions, and Users remain responsible for verifying it before acting. The assistant is read-only and cannot change records. The Customer is responsible for any software agents it connects and for the models those agents use.
6. Subscription, renewal and cancellation
The following applies to every paid plan, whether it was arranged by email, by contract, or through any sign-up flow we may offer.
- Term and price. The plan's term, price and any usage limits are stated when the Customer subscribes and in any renewal notice. We do not change the price during a term.
- Renewal reminders. If a plan renews automatically, we send the Customer's billing contact a reminder at least 30 days before each renewal, stating the renewal date, the price that will be charged, and exactly how to cancel. A plan never renews automatically without that reminder having been sent.
- Cancelling is as easy as subscribing. A Customer may cancel through the same channel it used to subscribe, in no more steps than it took to sign up. A cancellation sent by email to the address on the Customer's invoice, or to the contact through whom the Customer subscribed, is effective on the day we receive it; we confirm in writing within two business days. We do not require a phone call, a retention conversation, or any form that was not needed to sign up.
- Effect of cancellation. Access continues to the end of the paid term unless the Customer asks us to end it sooner. After the term ends, the Customer has 30 days to export its data, after which the workspace and its backups are deleted on the schedule in the Privacy Policy. Fees already paid for the current term are not refunded except where the law requires or our agreement with the Customer says otherwise.
- Trial and free plans never convert to a paid plan without the Customer's express agreement to the price and term.
7. Availability and support
We aim to keep the Service available continuously and give notice of planned maintenance. We back up Customer data daily. Support is provided through the Customer's designated administrator. Any service-level commitment is set out in the Customer's agreement.
8. Intellectual property
The Service, its software and its design are owned by Protostar AI, LLC. Third-party components are used under their own licences, which are acknowledged in the Service. Customers receive a right to use the Service for their internal business during their subscription; nothing else is transferred.
9. Warranties and liability
We provide the Service with reasonable skill and care and as described in the Customer's agreement. Except as stated there or as required by law, the Service is provided "as is" and we do not promise it is error-free or fit for a particular purpose. To the extent the law allows, neither party is liable to the other for indirect or consequential loss, and our total liability to a Customer in any twelve-month period is limited to the fees that Customer paid for the Service in that period. Nothing limits liability that cannot be limited by law.
10. Changes to these terms
We may update these terms. The version and effective date at the top change when we do, and for material changes we notify each Customer's administrator at least 30 days in advance. Continued use after the effective date is acceptance; a Customer that does not accept may cancel under section 6 without penalty.
